- FEES: Buyer will pay all closing costs and associated fees.
- QUALIFIED BIDDER DEPOSIT: To be approved as a qualified bidder, each bidder must submit a deposit of $5,000 in certified U.S. funds to Henderson Auctions. Credit card payments are not accepted for this deposit. A Cashier’s Check or Wire Transfer is accepted for this deposit. Please call the auction office for wire transfer instructions at 225-686-2252. Please mail deposits to PO Box 336, Livingston, LA 70754 ATTN: August 13, 2026 Auction Deposit. Deliver cashier’s checks to 13340 Florida Blvd. Livingston, LA 70754. After the deposit is received, the bidder will be approved to bid and notified by email confirmation.
- The highest bidder shall be declared the Winning Bidder and notified by Henderson Auction within six (6) hours of the Auction closing that it is the Winning Bidder.
- Thereafter, the Winning Bidder shall:a. Provide Henderson Auction with an Earnest Money Deposit equal to ten percent (10%) of the Winning Bidder’s bid. The Earnest Money Deposit shall be paid to Henderson Auction by 3pm CST on Friday, August 14th. The Earnest Money Deposit shall be made via Cashier’s Check or Wire Transfer. The Earnest Money Deposit shall be held in Henderson Auction’s non-interest-bearing escrow account. At closing, the Earnest Money Deposit will be credited toward the buyer’s total settlement amount. The Earnest Money Deposit is non-refundable if the buyer fails to complete the purchase of the property.b. Execute a Purchase Agreement that contains the provisions set forth herein.• Funds will be held in Henderson Auction’s non-interest-bearing escrow account.• At closing, the deposit will be credited toward the buyer’s total settlement amount.• The deposit is non-refundable if the buyer fails to complete the purchase of the property.• If a bidder is designated by the Auctioneer as the successful bidder, the deposit will be applied toward the purchase price at closing.
- The deposit is non-refundable if the successful bidder fails to:• Execute the Purchase and Sale Agreement.• Pay the Earnest Money Deposit• Complete the closing process on the propertyBidders who are not selected as successful bidders will receive a full refund of their deposit within seven business days following the conclusion of the auction.
- IT IS FURTHER ORDERED that the second highest bidder shall be declared to be the Back-Up Bidder, which bid shall remain irrevocable for a period of fourteen (14) days following the Auction. In the event the Winning Bidder does not timely pay the Earnest Money Deposit and execute the Purchase Agreement, Henderson Auction, with the consulation of the Debtor, Velocity, and the Sub V Trustee, may declare that the Winning Bidder’s initial deposit is forfeited and declare the Back-Up Bidder as the Winning Bidder. In this event, the Back-Up Bidder shall comply with all requirements of a Winning Bidder.
- IT IS FURTHER ORDERED that a Buyer’s premium of 10% shall be added to the high bid, unless the high bid was made by Velocity, to establish the final contract sales price.
- IT IS FURTHER ORDERED that the Winning Bidder is hereby determined to be a good faith purchaser under § 363(m) of the Bankruptcy Code.
- IT IS FURTHER ORDERED that the Closing under the Purchase Agreement shall be concluded no later than 5:00 p.m. on Tuesday, September 15, 2026, with delivery of insurable title to Buyer.1 At Closing, Buyer shall pay attorney fees and closing costs. All real estate taxes shall be prorated from the date of the Auction. Possession of the Asset will be provided to the Buyer at Closing.
- IT IS FURTHER ORDERED that the Debtor is authorized to pay any and all customary and necessary costs required to effectuate the sale, such as mortgage cancellation charges, recordation charges, taxes, or closing costs attributable to the Debtor as the seller.
- IT IS FURTHER ORDERED that Velocity shall not have to pay the $5,000 Qualified Bidder Deposit to bid at the Auction, and if Velocity is the Winning Bidder, it shall not have to pay the Earnest Money.
- IT IS FURTHER ORDERED that Velocity shall be paid from the sale proceeds the full amount of its allowed secured claim.
- The “Buyer” shall refer to the Winning Bidder, or the Backup-Bidder in the event the Winning Bidder did not provide the Earnest Money Deposit or execute the Purchase Agreement.
- IT IS FURTHER ORDERED that pursuant to § 363(k) of the Bankruptcy Code, if Velocity is the Winning Bidder, it shall be entitled to offset the amount of its allowed secured claim against the purchase price of the Asset.
- IT IS FURTHER ORDERED that if Velocity is the Winning Bidder, it shall only pay 3% of its bid price to Henderson Auctions and shall not be liable for the 10% Buyer’s Premium.
- IT IS FURTHER ORDERED that Velocity shall receive up to the amount of its allowed secured claim from the bid price and the bid price shall not be reduced by the Buyer’s premium that the Buyer will pay to Henderson Auctions.
- IT IS FURTHER ORDERED that if the validity or amount of Velocity’s claim has not been determined as of the Closing Date, the sale proceeds shall be held by Frederick L. Bunol, Subchapter V Trustee, pending further Order of the Court.
- IT IS FURTHER ORDERED that following the sale of the Asset as set forth herein, the Clerk of Court for the Parish of Orleans, Louisiana and/or any other public officials are hereby authorized and directed to cancel and release the Asset from the effect of all liens, claims, and encumbrances shown in the public records.
- IT IS FURTHER ORDERED that the Court shall retain jurisdiction to hear and determine all matters arising from or related to the sale, this Sale Order, and any other documents executed and delivered in connection with the sale and this Sale Order.
- IT IS FURTHER ORDERED that the Debtor is authorized, pursuant to §§ 362, 363(b), 363(f), and 363(m) of the Bankruptcy Code, to (i) execute and deliver, to perform under, and to consummate and implement the terms of the sale, pursuant to the terms of the Sale Motion, together with any and all additional instruments and documents that may be reasonably necessary or desirable to implement the sale; (ii) take all further actions as may reasonably be requested by the buyer(s) for the purpose of assigning, transferring, granting, conveying and conferring the Asset to the buyer(s) as may be necessary or appropriate to the performance of the obligations contemplated by the sale; and (iii) execute any and all documents on behalf of Q & T Properties LA, LLC’s bankruptcy estate or affiliated third parties to effectuate the terms and conditions of the sale.
- VIEWING/INSPECTION: The Buyer is responsible for completing inspections/viewing before the close of the auction.
- “AS IS, WHERE IS”: The Buyer is purchasing this Property “as is, where is” with no warranties expressed or implied for habitation or development, or fitness for any other purpose.
- POSSESSION: Possession of the Property will be provided to the Buyer at closing.
- SURVEY/PROPERTY MAPS/TAXES: The Seller will provide property maps and aerial photos as available.
- REAL ESTATE TAXES: All real estate taxes shall be prorated from the auction close.
- CLOSING: Closing under the Purchase and Sale Agreement shall be no later than 45 days of the auction date, with delivery of insurable title to Buyer. Buyer to pay attorney fees and closing costs. This property will sell without reserve to the high bidder, who will be notified within 6 hours of the auction closing that he/she has been recognized as the SUCCESSFUL BIDDER.
- BUYER’S PREMIUM: 10% Buyer’s premium shall be added to the high bid, the combination of which will establish the final contract sales price.

- Any notice of successful bidding or being outbid via an online platform(s) or by any party other than the BID CALLER and Management for the AUCTIONEER does not constitute official notice. Official notice of award and whether or not a sale has taken place will only be given in the form of an invoice from the AUCTIONEER. AUCTIONEER has the right and sole discretion to amend or correct any invoice that is sent to a BIDDER.
Any litigation from non-payment or lot-related discrepancies will be held in a Livingston, LA Parish court system.
If a BIDDER does not pay the balance in full by the scheduled closing date, the BIDDER’s Earnest Money and QUALIFIED BIDDER DEPOSIT will be forfeited to the AUCTIONEER.
